최형록 발란 대표는 31일 입장문을 통해 서울회생법원에 기업회생 절차를 신청했다고 밝혔다. /사진 제공=발란 온라인 명품 플랫폼 발란이 대금 미정산 논란 끝에 31일 기업회생 절차를 신청했다. 회사는 회생 인가 전 인수합병(M&A)을 통한 신속한 채권 변제를 검토 중이지만, 현재 재무 구조와 업황을 고려할 때 긍정적인 변화는 기대하기 어려운 상황이다. 발란의 기업회생 신청은 파트너사와 기존 투자자들의 투자금 회수에도 큰 영향을 미칠 것으로 예상된다. 최형록 대표는 셀러들에게 공개한 입장문에서 "올해 1분기 내 계획했던 투자 유치를 일부 진행했지만 예상보다 추가 자금 확보가 지연되면서 단기적인 유동성 위기에 빠졌다”며 “파트너사의 상거래 채권을 안정적으로 변제하고 발란의 지속 가능성을 높이기 위해 기업회생 절차를 신청했다"고 31일 밝혔다. 현재 발란의 월평균 거래액은 300억원, 입점사는 1300여개에 달한다. 최 대표는 "미지급된 상거래 채권 규모도 발란의 월 거래액보다 적은 수준"이라고 밝혔다. 최 대표는 회생 절차와 함께 ‘M&A를 통한 정상화’에 집중하겠다는 계획도 밝혔다. 조기에 인수자를 유치해 확보한 자금으로 미지급 채권을 변제하겠다는 구상이다. 이를 위해 이번 주 중 매각 주관사를 선정할 예정이다. 그러나 업계에서는 발란의 M&A 성사 가능성에 대해 회의적인 시각을 보이고 있다. 2023년 완전 자본잠식 상태에 빠진 발란을 인수할 기업이 재정적 리스크를 감수할 유인이 크지 않다는 분석이다. 2023년 말 기준 발란의 유동부채가 유동자산을 81억원 초과하고 누적결손금은 784억원에 달하는 등 재무 구조가 악화된 상태다. 2015년 설립된 발란은 2022년 한때 기업가치 3000억원까지 평가 받았으나 판매 부진과 고객 이탈로 현재 300억원대로 급락했다. 명품 플랫폼 업황 전반이 침체되면서 발란의 인수 매력도 크게 떨어졌다. 팬데믹 시기 급성장했던 명품 플랫폼 시장은 소비 트렌드 변화와 대형 플랫폼 간 경쟁 심화로 수익성이 악화되고 있다. 발란과 함께 ‘명품 3대장’으로 불리던 머스트잇과 트렌비 역시 할인 경쟁과 마케팅 비용 증가로 내실이 흔들리고 있다. 2023년 머스트잇은 79억원, 트렌비는 32억원의 영업손실을 기록했다. 지난해 기업회생 절차를 밟은 티메프(티몬·위메프)도 개별 매각을 추진하고 있지만 시장 둔화와 부실한 재무구조로 마땅한 인수자를 찾지 못하고 있다. 매각 주관사 선정 후 5개월이 지난 지금, 티몬은 오아시스 인수 가능성이 거론되지만 위메프는 여전히 인수 후보가 없는 상황이다. 한 업계 관계자는 “현재 이커머스 시장은 구조조정 국면에 접어들었고 명품 플랫폼 업황 성장세도 정체된 상태여서 발란을 적극적으로 인수하려는 기업이 나타나기는 쉽지 않을 것"이라고 말했다. 발란이 M&A에 실패하고 본격적인 회생 절차에 돌입할 경우 기존 투자자들도 난처해질 것으로 보인다. 네이버는 2020년 11월 발란에 40억원(우선주 7.98%)을 투자했으나 2024년 투자 장부가액을 86억원에서 60억원으로 조정하며 평가손실을 반영했다. 향후 기업회생 절차가 진행되면 손실 규모는 더욱 확대될 가능성이 크다. 또한 2018년 20억원을 투자한 리앤한도 2023년 감사보고서에서 발란 투자금 중 1000원만 남기고 전액 손상 처리했다. K뷰티 유통업체 실리콘투 역시 발란 투자로 인해 타격을 입었다. 회사는 지난달 발란에 150억원 규모의 전환사채(CB)를 인수하기로 하고, 이미 1차로 75억원을 투자했다. 그러나 기업회생 신청으로 인해 투자금 회수가 사실상 불가능해졌다. 회사 관계자는 "투자 당시 이러한 사태를 예상하지 못했다"며 "1차 투자금 회수 가능성이 희박해졌고 2차 투자금 집행 여부에 대해서는 내부 논의 중"이라고 밝혔다. 키워드
